2] Delivery

Any times quoted for delivery are a date from receipt by us of a written order to proceed and such time shall be extended by a reasonable period if delay in delivery is caused by instructions from you or by industrial dispute or by any cause whatsoever beyond our reasonable control. Any prices quoted may be subject to fluctuation and the price ruling on date of invoice will apply unless previously agreed in writing by a Director of the Company.

3] Payment

Unless otherwise agreed in writing payment in full must be made within thirty (30) days of the Company’s invoice. If payment is not forthcoming you may be charged 1½% monthly until payment is received together with any other collection/legal charges incurred.

Unless otherwise agreed in writing, goods rejected by the customer as not complying with the Contract, must be rejected within fourteen (14) days of delivery to the customer (time to be of the essence) and no claim will be entertained outside this time limit or if the goods shall have been put through any process after delivery. This does not affect your statutory rights. Any goods being returned must be accompanied by details of the Company’s sales invoice number(s) and the Company’s stock reference number(s). A 10% charge may be applied for reconditioning, repackaging and administration.

5] Reservation of Title

Failure on your part to pay the purchase price and any such other sums shall give us the right to take possession of any goods supplied by us under this Contract without prior notice and without prejudice to our right to avail ourselves of any other legal remedy. In the event of any such goods being sold by you to a third party before the title/property therein has passed hereunder you shall hold the proceeds of sale upon trust for us and immediately account to us for any such proceeds or instalment thereof received by you provided that your obligation to hold on trust and account as aforesaid shall be limited to the total of the above mentioned purchase price, charge and other sums remaining unpaid at the time of the relevant receipt.
